Terms of Service

• You must be at least 18 years old and able to enter into a binding contract under the laws of Bangladesh.
• You sign in with a mobile phone number and a one-time password. You are responsible for all activity under your account and for keeping your phone and OTP codes private.
• Information you give us must be accurate and kept up to date. Each person may operate only the stores permitted by the Service.

ShopBridge provides software that lets merchants run an online store on a {slug}.shopbridge.bd address, choose and customise templates, list products, receive orders, collect online payments and request payouts. ShopBridge is a technology platform. We are not the seller of merchants' products, and the sales contract is between the merchant and the customer.

• ShopBridge is currently offered on a free trial. We have not fixed a subscription fee, and trial terms, limits and availability may change.
• When a customer pays online for an order, ShopBridge charges a commission fee on that payment. The current commission rate is shown in your dashboard and may be changed by ShopBridge. Changes apply to payments made after the change takes effect.
• Commission is deducted from the sale amount before it is added to your available balance. Gateway or third-party charges, if any, will be shown to you.
• ShopBridge may introduce subscription plans, service fees or charges for new, premium or existing features at any time. We will give you notice before any new fee applies to you, and it will not be charged without your use of the paid feature. You may stop using the Service if you do not agree.

• Payments made online by customers are received by ShopBridge on the merchant's behalf and recorded in your dashboard as a balance after deducting commission and any refunds or adjustments.
• You may request a payout of your available balance to the mobile wallet or bank account you registered. Payouts are reviewed and approved by ShopBridge and sent to that account.
• You are responsible for the accuracy of your payout details. ShopBridge is not liable for funds sent to an account you entered incorrectly.
• We may delay, hold or refuse a payout, or reverse a credit, where we reasonably suspect fraud, a chargeback or dispute, a violation of these Terms, or where required by law. Refunds and chargebacks relating to your orders are debited from your balance.
• Cash-on-delivery orders are collected by the merchant directly and are not part of your ShopBridge balance.
• You are responsible for any taxes that apply to your sales.

• You are solely responsible for your products, descriptions, prices, images, stock, order fulfilment, delivery, returns, refunds and customer service.
• You must comply with all applicable laws of Bangladesh, including consumer-protection and e-commerce laws, and respond to customers promptly.
• You must have the right to use all content (text, photos, logos) you upload.
• You are responsible for how you use customers' personal information and must use it only to fulfil orders and provide support.

You must not use the Service to:

• Sell illegal, stolen, counterfeit or pirated goods, or goods that infringe others' rights.
• Sell drugs, weapons, explosives, adult content, or any item restricted or banned in Bangladesh.
• Mislead or defraud customers, take payment without delivering, or misrepresent products.
• Upload malware, attempt to hack, disrupt or overload the Service, or access accounts that are not yours.
• Harass others, or send spam or unlawful messages.
• Use the Service to launder money or circumvent payment, commission or payout rules.

ShopBridge may suspend or terminate your account, unpublish your store, remove content, or withhold payouts, with or without notice, if we believe you have violated these Terms or the law, put customers or the Service at risk, or if required by a legal authority. You may stop using the Service and request account deletion at any time by contacting us. Sections that by their nature should survive termination (including fees owed, liability and dispute provisions) will survive.

You keep ownership of the content you upload. You give ShopBridge a non-exclusive, worldwide, royalty-free licence to host, display and distribute it as needed to operate and promote the Service. The ShopBridge name, logo, software, templates and design belong to ShopBridge or its licensors, and you may not copy, resell or reverse-engineer them.

If you connect WhatsApp, you authorise ShopBridge to act on your store according to the instructions you send, for example adding products or updating orders. Automated and AI-assisted tools may make mistakes, so please check important changes in your dashboard. You can disconnect at any time.

The Service is provided “as is” and “as available”, particularly during the free trial. We do not guarantee that it will be uninterrupted, error-free or free of loss of data, and we may change, suspend or discontinue features at any time. To the maximum extent permitted by law, we disclaim all warranties not expressly stated in these Terms.

To the maximum extent permitted by law, ShopBridge will not be liable for indirect, incidental, special or consequential losses, or for loss of profit, revenue, data or goodwill, or for disputes between merchants and customers, or for acts of delivery or payment providers. Our total liability to you for any claim is limited to the commission fees you paid to ShopBridge in the three months before the claim arose. Nothing in these Terms limits liability that cannot be limited by law.

You agree to compensate and hold harmless ShopBridge and its owners and staff from claims, losses and expenses (including reasonable legal fees) arising from your products, your content, your breach of these Terms or the law, or your dealings with customers.

We may update these Terms from time to time. The date at the top shows the latest version. For material changes we will notify you through the dashboard or by message. Continuing to use the Service after changes take effect means you accept them.

These Terms are governed by the laws of Bangladesh. We encourage you to contact us first to resolve any dispute informally. If it cannot be resolved, the courts of Dhaka, Bangladesh will have exclusive jurisdiction.
